Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Vertawo Labs Private Limited (“Vertawo Labs”, “we”, “us” or “our”), the company that operates the PiriPiri AI application and related services (the “Service”). By downloading, accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

The Service

PiriPiri AI is a macOS and Windows application and related services that transcribe audio you choose to capture and generate AI-assisted suggestions, notes and answers in real time. The Service relies on third-party AI models and is provided on an “as is” and “as available” basis. AI output may be inaccurate, incomplete or unsuitable for your purpose, and you remain solely responsible for what you say and do and for any reliance you place on the output.

Your account

• You must provide accurate account information and keep it current.
• One account per person; you are responsible for all activity under your account.
• Keep your credentials secure and notify us promptly of any unauthorised use.

Acceptable use

• You are responsible for complying with all laws that apply to you, including recording-consent and wiretap laws, and for obtaining any consents required from other participants before capturing audio.
• You must comply with any agreements, policies or rules that bind you — for example, employer policies, examination rules or platform terms.
• You must not resell, scrape, reverse engineer, decompile, or attempt to gain unauthorised access to the Service or its APIs, or use it to build a competing product.
• You must not use the Service for any unlawful, infringing, harmful or fraudulent purpose, or in a way that disrupts or overloads it.

Credits and billing

• Interview minutes are consumed while live transcription runs and are metered server-side. Purchased minutes do not expire.
• Purchases are one-time payments processed by Razorpay in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• We may change pack pricing at any time; changes never affect minutes you already own. Refunds are governed by our Refund Policy.

Intellectual property

We and our licensors own all rights in the Service, including its software, design and trademarks. You retain ownership of the content you create or capture (such as your audio, transcripts and notes), and you grant us a limited licence to host, process and transmit that content to our processors solely to provide the Service to you. You represent that you have the rights and consents necessary for us to do so.

Third-party services

The Service depends on third-party providers, including Deepgram and Groq (AI and speech-to-text) and Razorpay (payments). Your use of those features may also be subject to the third party’s terms, and we are not responsible for their acts or omissions.

Disclaimers

The Service does not provide legal, professional, medical or other advice, and it does not guarantee any particular result, including in interviews, examinations or assessments. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Vertawo Labs and its directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or goodwill. Our total liability arising out of or relating to the Service will not exceed the total amount you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Vertawo Labs from any claims, liabilities, damages and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your breach of these Terms, or your violation of any law or third-party rights — including recording-consent laws and the rights of meeting participants.

Suspension and termination

We may suspend or terminate your access if you violate these Terms or abuse the Service. You may stop using the Service at any time and request deletion of your data. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnity and governing law — will continue to apply.

Changes to these Terms

We may update these Terms from time to time. We will revise the “last updated” date above and, where changes are material, take reasonable steps to notify you. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory rights you have as a consumer, the courts at Gurugram, Haryana will have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms. The parties will first attempt to resolve any dispute amicably by contacting us at the address below.
